Entertainment Industry Structuring

Media & Entertainment | International Tax

A group of entertainment industry professionals sought advice on structuring their international touring and performance arrangements.

The group performed internationally, with significant income derived from performances in multiple countries.

The existing arrangements were informal and tax-inefficient, with income being taxed at high rates and expenses not being claimed effectively.

The objectives were to establish a proper corporate structure that would facilitate international touring, allow for tax-efficient profit extraction, provide asset protection, and ensure compliance with the tax obligations of each jurisdiction in which they performed.

Entertainment industry taxation presents unique challenges:

Performers are often taxable in the countries where they perform, even if they are resident elsewhere. Double tax treaties may provide relief, but the position varies significantly between countries.

Income can be structured as employment income, self-employment income, or corporate income, each with different tax consequences.

Expenses such as travel, accommodation, and equipment can be substantial, and the deductibility depends on how the income is structured.

VAT and other indirect taxes add additional complexity, particularly for cross-border performances.

We designed a structure that addressed these challenges:

A UAE booking company was established to act as the central contracting entity for international performances. The UAE's tax-free environment meant that profits retained in the company would not be subject to corporate tax.

Individual performers entered into contracts with the booking company, receiving a combination of salary and profit share.

Proper arrangements were put in place for withholding tax compliance in countries where performances took place.

Expense reimbursement arrangements were established to ensure that legitimate business expenses were tax-deductible.

We prepared contracts for use with promoters and venues, ensuring that the arrangements were documented properly and that tax obligations were clear.

We also provided advice on the ongoing compliance requirements, including the need to register for tax in certain jurisdictions, file returns, and maintain proper records.

The structure was implemented over several months, with close coordination between the performers, their managers, and their accountants.

Outcome

Tax-efficient international touring structure established with UAE booking company.

Template contracts prepared and compliance framework implemented.

Projected tax savings of over 30% compared to previous arrangements.
